Curated Business Growth Solutions DEN provides members with access to vetted, high-impact business amplification opportunities through strategic partnerships. These solutions are designed to increase visibility, expand market reach, and support revenue growth. Opportunities may include: • Video advertising distributed to 75M+ households via Roku OS • Audio advertising reaching 100M+ listeners through SiriusXM Network • Press release distribution through PR Newswire with guaranteed paid placement • Product placement opportunities on Walmart.com(http://Walmart.com) • Targeted #DENCommunity email advertising to 50,000+ subscribers These curated solutions are available exclusively within the ecosystem and are structured to support scalable business expansion. Signature Experiences Our annual, member-priority Signature Events are immersive, all-black-attire cultural and economic convenings hosted in undisclosed locations within our global Host Cities. These multi-part experiences blend: • Elevated culinary programming • Artistic and cultural showcases • Structured business networking • Access to health and wellness resources • Community fundraising benefiting mission-aligned nonprofits Members receive priority Tier II registration for themselves and one guest, access to member-only digital portals, and the ability to refer new members who may register during Tier III. Salon & Ecosystem Activation Events Throughout the year, members are invited to curated salon gatherings, executive dinners, networking forums, and fine dining experiences designed to: • Facilitate strategic introductions • Generate revenue-aligned partnerships • Strengthen local micro-economies • Deepen member-to-member collaboration Every gathering is structured to create meaningful economic and relational impact. National & Global Access #DEN National Network (DNN) Members who join three (3) U.S. Host City Communities within a calendar year are invited into the DEN National Network, unlocking reciprocal membership privileges and expanded access across our Host City Communities throughout the United States. #DEN Global Network (DGN) Members who join three (3) U.S. Host City Communities and two (2) international Host City Communities within a calendar year are invited into the DEN Global Network, unlocking reciprocal membership privileges and expanded access across our Host City Communities worldwide—deepening cross-border connection, collaboration, and engagement across the ecosystem. Digital Platform & Community Infrastructure Members receive access to the #DEN Community App, providing: • Seamless event registration and notifications • Member-to-member connection • Access to services and ecosystem benefits • Promotion and opportunity alerts The platform serves as the digital connective tissue of the global network. Economic Empowerment & Social Impact Each Host City activates localized philanthropic initiatives and community-based partnerships aligned with DEN’s mission. Membership contributes to strengthening Black entrepreneurship, advancing economic circulation within the ecosystem, and driving measurable community impact. DEN is committed to tracking and reporting member-driven economic activity and ecosystem growth annually to ensure accountability, transparency, and measurable progress. General Membership Individuals who secure a General #DEN Membership prior to the launch of a local Host City receive immediate access to digital products, curated business growth solutions, member benefits, and exclusive partner discounts. This option ensures you are connected to the DEN ecosystem from day one — with access to global engagement opportunities and cross-market connectivity while your local community is in development. Once a DEN Host City is formally activated in your market, your membership will transfer seamlessly at no additional cost. Important: While membership includes access to the DEN Curated Business Solutions Suite, not all Host City Communities host monthly Salon programming or annual Signature Events, and programming frequency, format, and availability may vary by city, season, local leadership, venue access, sponsorship, and operational capacity. Membership is not simply participation — it is strategic alignment within a global economic ecosystem.

Active Membership Requirement An active #DEN Membership is required to register for and attend all Dîner en Noir events. Membership activates immediately upon successful processing of payment. Members may verify active status by logging into their Member Account and reviewing the Subscription tab. Please note: Purchasing a membership does not constitute event registration and does not guarantee admission to any specific event. All event registrations are separate and processed on a first-come, first-served basis. Members must complete event registration to secure attendance. City-Based Membership Structure Each city-specific membership plan provides eligibility to register for events within that designated Host City. For markets where a city-specific membership has not yet launched, individuals may select the General #DEN Membership to access digital benefits and global ecosystem engagement. When a new Host City is formally announced, General Members must contact Customer Support within fourteen (14) days to request a transfer to that city’s membership plan. If a transfer request is not submitted within this timeframe, a new membership purchase will be required. Please note: If a price difference exists between the General Membership and the newly launched city-specific plan, transfers will not be permitted. Membership Term & Renewal Membership plans operate on a calendar-year basis and are valid from the date of purchase through December 31 of that same year, regardless of purchase date. Memberships must be renewed annually to maintain active status. Exceptions may apply if no official DEN event occurs within a specific Host City during the year of purchase. Non-Transferability Memberships are non-transferable and may not be reassigned to another individual or email account. Only one membership per Host City may be associated with a Member Account at any time. Duplicate purchases under separate accounts cannot be consolidated, transferred, or refunded. Payment & Processing Membership payments may be processed directly by the member or, where applicable, by Dîner en Noir / HNC Enterprises, Inc. If a Member Profile is completed and payment authorization is provided but the transaction is not finalized, DEN reserves the right to process payment for the selected Membership Plan and/or Event Registration using the card on file. All membership payments are non-refundable in accordance with the official Refund Policy. Standards of Conduct & Termination Membership within DEN reflects alignment with a global ecosystem built on integrity, discretion, and mutual respect. Immediate termination of membership — including revocation of benefits, removal from events, forfeiture of fees, and/or permanent exclusion from future participation — may occur if a member: • Misrepresents personal information, including age or eligibility • Shares confidential event information, access codes, locations, or member data • Engages in rude, disruptive, harassing, or threatening behavior toward guests, staff, partners, or members (in person or via digital communication) • Violates DEN’s Website Terms, Conditions of Use, or organizational policies Dîner en Noir reserves the right to terminate membership at its sole discretion, with or without notice or stated cause. Guest Responsibility Members, Partners, Volunteers, and Sponsors are responsible for the conduct of their invited guests. Any violation of policies by a guest may result in disciplinary action against the sponsoring member. REFUND, CANCELLATION, TRANSFER & CREDIT POLICY All Sales Final / No Refunds ALL SALES ARE FINAL. NO REFUNDS. Except where expressly required by applicable law, DEN maintains a strict no refund / all sales final policy for all Offerings, including without limitation: • memberships and renewals; • event registrations and tickets; • guest registrations; • sponsorships and partnership payments; • vendor fees; • travel-related deposits or fees; • merchandise; • products; • digital products, courses, guides, and downloads; and • consulting, services, and custom deliverables.   Cancellations by You If you cancel, fail to attend, arrive late, fail to comply with instructions, are denied access for policy violations, or otherwise choose not to participate, you will not be entitled to a refund, charge reversal, or credit unless DEN expressly approves one in writing.   Event Postponement If an event is postponed or rescheduled, your registration will generally be honored for the rescheduled event or an equivalent future event, subject to availability, pricing parity rules, and operational limitations.   Event Cancellation by DEN If DEN cancels an event and does not reschedule it, DEN may issue credit only in an amount determined by DEN, to be applied toward a future eligible DEN offering. No cash refund will be issued except where required by law.   Credits: • have no cash value; • may be non-transferable; • may be subject to expiration; and • may be limited to specific cities, programs, or offering categories.   Transfers Memberships are non-transferable. Event registrations or tickets may only be transferred if DEN expressly allows the transfer under then-current rules, deadlines, eligibility requirements, and pricing parity limitations. DEN may refuse any requested transfer in its sole discretion.   Pricing Parity for Transfers or Postponed Event Use Where DEN allows a transfer or permits the use of prior registration value for a rescheduled or substitute event, DEN may require the transferred or replacement registration to be used only for an event or offering of equal or lesser value, or may require payment of any lawful difference if DEN elects to permit such use. The Membership and Transaction Fee is used to cover the inherent costs of customer support, staff training, and support/technical services offered to all the Host-Organizers worldwide to enable them to organize their own event, as offered by Dîner en Noir Worldwide/HNC Enterprises, Inc. These services allow us to preserve and convey the concept’s values, to sustain our corporate standards by regrouping them within a single network and, to develop technical tools. #DEN Membership offers members a number of online services that will grow in the coming years. Dîner en Noir is continually updating its platforms so that all members of a Dîner en Noir receive added benefits. In addition, this annual fee keeps event registration cost affordable for all. Membership fee also allow members to register for as many Dîner en Noir events in their city & around the world as they wish (once they are invited to our #DEN National & Global Networks). Why is there a different cost for memberships? Dîner en Noir's offers several different membership pricing structures to include: • EARLY-BIRD DISCOUNTED MEMBERSHIP: This price is usually offered at the conclusion of the current calendar year, PRIOR to beginning of the season (Early-Bird Membership Promotions are offered PROIR to the start of the new season/year) • DISCOUNTED MEMBERSHIP: This price is offered PRIOR to the start of the new season/calendar year. • STANDARD MEMBERSHIP: This price is offered once the new season/current year has begun PRIOR to the date announcement of a Host City • LATE MEMBERSHIP: This price is offered ONCE THE DATE HAS BEEN ANNOUNCED for the Host City.
