Terms & Conditions

 

Effective Date: May 18, 2026

 

These Terms & Conditions (“Terms”) govern participation in the Dîner en Noir Worldwide (“Dîner en Noir,” “#DEN,” “DEN,” “The Company,” “we,” “us,” or “our”) DEN Creators Network (the “Network”).

 

By applying to or participating in the DEN Creators Network, you (“Creator,” “Participant,” “you,” or “your”) acknowledge that you have read, understood, and agreed to be bound by these Terms.

 

These Terms constitute a legal agreement between you and HNC Enterprises, Inc., the parent company of Dîner en Noir Worldwide, a corporation organized under the laws of the District of Columbia, USA.

 

Participation in the DEN Creators Network is voluntary and subject to approval, eligibility, continued compliance with these Terms, and alignment with the values and mission of the DEN ecosystem.

 

1. PROGRAM OVERVIEW

The DEN Creators Network is a curated ecosystem of influencers, creators, storytellers, media personalities, photographers, hosts, tastemakers, and cultural voices who help amplify the Dîner en Noir Worldwide ecosystem and participating member businesses through content creation, storytelling, community engagement, influencer marketing, and promotional collaborations.

 

Participation in the Network may include opportunities such as:

  • influencer marketing campaigns;

  • event invitations and coverage;

  • sponsored collaborations;

  • affiliate and referral opportunities;

  • user-generated content (“UGC”) campaigns;

  • social media promotions;

  • creator partnerships;

  • business collaborations;

  • promotional campaigns;

  • brand activations;

  • digital storytelling initiatives;

  • community engagement opportunities.

 

Participation in the Network does not guarantee:

  • campaign participation;

  • compensation;

  • commissions;

  • event invitations;

  • brand collaborations;

  • creator status;

  • sponsorships;

  • business opportunities; or

  • future engagements of any kind.

2. ELIGIBILITY REQUIREMENTS

To participate in the DEN Creators Network, you must:

  • be at least twenty-one (21) years of age;

  • maintain an active Dîner en Noir Worldwide membership in good standing;

  • provide truthful, accurate, and complete application information;

  • maintain an active and publicly accessible digital or social media presence;

  • comply with all applicable laws, platform policies, advertising regulations, and disclosure requirements;

  • conduct yourself professionally and in alignment with the values of the DEN ecosystem.

 

Dîner en Noir Worldwide reserves the right to approve, deny, suspend, or terminate participation at its sole discretion.

 

 

3. CREATOR STATUS & NETWORK TIERS

DEN may establish creator categories, badges, levels, or partnership tiers based on:

  • professionalism;

  • audience alignment;

  • campaign performance;

  • engagement;

  • participation;

  • content quality;

  • community alignment;

  • contribution to the ecosystem.

 

Creator status may be changed, suspended, or revoked at any time and for any reason.

 

 

4. CREATOR EXPECTATIONS & PROFESSIONAL CONDUCT

As a participant in the DEN Creators Network, you agree to:

  • represent yourself and the DEN ecosystem professionally;

  • create authentic and non-misleading content;

  • communicate respectfully with members, businesses, sponsors, partners, staff, and audiences;

  • comply with campaign requirements, timelines, and deliverables;

  • avoid deceptive, fraudulent, offensive, defamatory, discriminatory, hateful, unlawful, or inappropriate conduct;

  • refrain from behavior that could reasonably damage the reputation, integrity, mission, or public image of DEN, its members, sponsors, or ecosystem partners.

 

You may not:

  • falsely imply employment or official representation authority;

  • enter agreements on behalf of DEN;

  • misrepresent partnerships or campaign terms;

  • use the DEN brand in misleading or unauthorized ways.

5. FTC DISCLOSURE & ADVERTISING COMPLIANCE

Creators are solely responsible for complying with all applicable advertising, sponsorship, influencer marketing, and disclosure laws and regulations, including but not limited to:

  • Federal Trade Commission (“FTC”) guidelines;

  • social media platform disclosure policies;

  • advertising transparency laws;

  • endorsement regulations.

 

All sponsored, compensated, gifted, affiliated, or incentivized content related to Dîner en Noir Worldwide, DEN member businesses, sponsors, or ecosystem campaigns must include clear and legally compliant disclosures where applicable, including but not limited to:

  • #ad

  • #sponsored

  • #paidpartnership

  • #DENCreator

  • platform-specific paid partnership tools

 

Disclosures must be:

  • clearly visible;

  • easy to understand;

  • placed prominently within the content or caption;

  • compliant with applicable platform requirements.

 

Creators are solely responsible for ensuring compliance with applicable disclosure obligations. Failure to comply may result in immediate removal from the Network and potential legal liability.

6. CONTENT CREATION & CAMPAIGN PARTICIPATION

Creators may participate in:

  • promotional campaigns;

  • event activations;

  • content collaborations;

  • social storytelling initiatives;

  • UGC campaigns;

  • hospitality experiences;

  • ecosystem promotions;

  • member business campaigns;

  • sponsored partnerships.

 

Campaign participation may require:

  • adherence to deadlines;

  • submission approvals;

  • content review;

  • brand guidelines;

  • specific deliverables;

  • event attendance;

  • exclusivity limitations;

  • confidentiality obligations.

 

DEN reserves the right to:

  • approve or reject submitted content;

  • request revisions;

  • remove content inconsistent with campaign requirements;

  • cancel campaigns or opportunities at any time.

 

 

7. CONTENT OWNERSHIP & USAGE RIGHTS

Unless otherwise agreed in writing, Creators retain ownership of their original content.

 

However, by:

  • tagging DEN-related accounts;

  • participating in DEN campaigns or events;

  • submitting campaign content;

  • posting DEN-related promotional content;

  • uploading or sharing content connected to the Network;

you grant Dîner en Noir Worldwide and its affiliated entities, sponsors, ecosystem partners, member businesses, licensees, successors, and assigns a non-exclusive, royalty-free, worldwide, sublicensable license to:

  • repost;

  • share;

  • publish;

  • display;

  • reproduce;

  • distribute;

  • edit;

  • resize;

  • archive;

  • promote;

  • market;

  • advertise;

  • use your submitted content, name, image, likeness, social handles, voice, and approved branding in connection with DEN-related marketing, promotional, editorial, business, or commercial purposes.

 

Such usage may include:

  • websites;

  • newsletters;

  • digital advertising;

  • event marketing;

  • social media;

  • promotional materials;

  • recap content;

  • media campaigns;

  • sponsor presentations.

 

Where reasonably practical, DEN will attempt to provide creator attribution.

Creators waive any claim to additional compensation for such usage unless otherwise agreed in writing.

 

 

8. SEPARATE CAMPAIGN AGREEMENTS

Certain campaigns, partnerships, collaborations, activations, sponsorships, or paid opportunities may require separate written agreements, statements of work (“SOW”), campaign briefs, usage agreements, talent agreements, non-disclosure agreements (“NDAs”), or licensing agreements.

 

Such separate agreements may govern:

  • compensation;

  • deliverables;

  • exclusivity;

  • timelines;

  • content ownership;

  • intellectual property;

  • usage rights;

  • cancellation;

  • confidentiality;

  • performance expectations.

 

In the event of conflict between these Terms and a separate campaign agreement, the separate written campaign agreement shall control for that specific campaign or engagement.

 

 

9. REFERRAL LINKS, PROMO CODES & AFFILIATE TRACKING

Certain Creators may receive:

  • referral links;

  • promotional codes;

  • creator-specific URLs;

  • affiliate tracking links;

  • campaign assets.

 

Commissions or referral compensation will only apply to properly tracked transactions processed through DEN-approved systems.

 

DEN is not responsible for:

  • broken links;

  • platform outages;

  • tracking failures;

  • improperly used codes;

  • expired promotions;

  • user error;

  • unauthorized modifications.

 

DEN reserves the right to modify or discontinue referral structures, commission percentages, tracking systems, or promotional incentives at any time.

 

 

10. COMPENSATION & PAYMENT

Eligible Creators may receive compensation through:

  • referral commissions;

  • affiliate incentives;

  • flat-rate campaign payments;

  • appearance fees;

  • sponsored partnerships;

  • content licensing;

  • campaign bonuses;

  • creator collaborations;

  • approved promotional opportunities.

 

Compensation may vary based on:

  • campaign scope;

  • deliverables;

  • engagement;

  • creator tier;

  • audience alignment;

  • platform usage rights;

  • production requirements;

  • business partnerships.

 

Unless otherwise specified:

  • payment is contingent upon satisfactory completion of deliverables;

  • commissions apply only to verified completed transactions;

  • chargebacks, refunds, cancellations, or fraudulent transactions do not qualify;

  • payment timing may vary based on campaign type and payout method.

 

Creators are solely responsible for:

  • taxes;

  • reporting obligations;

  • business licenses;

  • banking fees;

  • legal compliance related to payments received.

 

 

11. MORALS & REPUTATION CLAUSE

Dîner en Noir Worldwide reserves the right to suspend, remove, terminate, or refuse participation in the Network if a Creator engages in conduct that, in DEN’s sole judgment:

  • damages or may reasonably damage the DEN brand or ecosystem;

  • subjects DEN, its members, sponsors, or partners to public scandal, contempt, or ridicule;

  • involves hate speech, harassment, discrimination, racism, sexism, homophobia, violence, threats, or abusive conduct;

  • promotes illegal activity;

  • involves criminal conduct or significant public controversy;

  • violates community standards or platform rules;

  • materially conflicts with the mission, values, image, or reputation of DEN.

 

DEN may take action regardless of whether such conduct occurs online, offline, publicly, privately, before, during, or after participation in the Network.

 

 

12. INTELLECTUAL PROPERTY & BRAND USAGE

All DEN trademarks, logos, branding, graphics, promotional materials, intellectual property, event names, and ecosystem-related assets remain the exclusive property of Dîner en Noir Worldwide and/or its licensors.

 

Creators may not:

  • modify DEN branding without authorization;

  • create unauthorized derivative branding;

  • register DEN-related domain names or social handles;

  • falsely imply ownership or official authority;

  • use DEN intellectual property in misleading or unlawful ways.

 

Authorized use of DEN branding must comply with all applicable brand guidelines and campaign requirements.

 

 

13. CONFIDENTIALITY

Creators may receive confidential or non-public information regarding:

  • campaigns;

  • events;

  • sponsors;

  • partnerships;

  • launches;

  • member businesses;

  • marketing strategies;

  • internal operations.

 

Such information may not be disclosed, shared, copied, distributed, or used outside the scope of authorized participation without prior written consent.

 

Confidentiality obligations survive termination of participation in the Network.

 

 

14. INDEPENDENT CONTRACTOR RELATIONSHIP

Participation in the DEN Creators Network does not create:

  • employment;

  • partnership;

  • joint venture;

  • franchise;

  • agency relationship.

 

Creators act solely as independent contractors and are not authorized to legally bind DEN or make representations on its behalf.

 

 

15. TERMINATION & REMOVAL

DEN reserves the right to:

  • suspend;

  • restrict;

  • terminate;

  • remove;

  • deny future participation

at any time and for any reason, with or without notice.

 

Upon termination, Creators must immediately discontinue use of:

  • DEN branding;

  • referral links;

  • campaign assets;

  • promotional materials;

  • discount codes;

  • confidential information.

 

Outstanding compensation may be withheld if DEN determines that compensation was connected to:

  • fraud;

  • misconduct;

  • policy violations;

  • unlawful activity;

  • reputational harm.

 

16. LIMITATION OF LIABILITY

To the fullest extent permitted by law, Dîner en Noir Worldwide shall not be liable for:

  • indirect damages;

  • incidental damages;

  • consequential damages;

  • reputational harm;

  • business interruption;

  • lost profits;

  • lost opportunities;

  • platform outages;

  • campaign cancellations;

  • third-party platform actions;

  • technical failures.

 

Participation in the Network is voluntary and undertaken at your own risk.

 

 

17. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Dîner en Noir Worldwide, HNC Enterprises, Inc., their officers, directors, employees, sponsors, partners, affiliates, and representatives from and against any claims, liabilities, damages, losses, expenses, or legal fees arising from:

  • your participation in the Network;

  • your content;

  • your conduct;

  • your breach of these Terms;

  • your violation of laws or platform policies;

  • your infringement of third-party rights.

 

 

18. GOVERNING LAW & DISPUTE RESOLUTION

These Terms shall be governed by and construed in accordance with the laws of the District of Columbia, USA.

 

Any disputes arising under these Terms shall be resolved through confidential binding arbitration in the District of Columbia, except where prohibited by applicable law.

19. MODIFICATIONS TO TERMS OR NETWORK

DEN reserves the right to:

  • modify these Terms;

  • revise creator structures;

  • alter compensation models;

  • discontinue opportunities;

  • suspend or terminate the Network

at any time without prior notice.

 

Continued participation after modifications constitutes acceptance of updated Terms.

 

 

20. COMPLETE AGREEMENT

These Terms constitute the entire agreement between Dîner en Noir Worldwide and the Creator regarding participation in the DEN Creators Network and supersede all prior discussions or agreements related to the Network.
